Terms & Conditions – Green Koala Bookkeeping

1. Introduction

These Terms & Conditions (“Terms”) govern the online bookkeeping and related services (“Services”) provided by Green Koala Bookkeeping (“Green Koala Bookkeeping,” “we,” “us,” or “our”) to clients (“you” or “your”). By using our website, booking online, or engaging our Services, you agree to be bound by these Terms and any written engagement letter or proposal we provide.

These Terms are intended to comply with applicable laws of the State of Washington and the United States and do not constitute legal advice.

2. Scope of Services

2.1 We provide remote/online bookkeeping and related support, which may include:

  • Recording and categorizing transactions

  • Bank and credit card reconciliations

  • Accounts payable/receivable management

  • Basic financial reports (e.g., profit & loss, balance sheet, cash flow)

  • Other services agreed in writing

2.2 The specific scope, fees, and timelines will be detailed in an engagement letter, proposal, or written agreement (including email). If there is any conflict, that document will prevail over these general Terms.

2.3 Any work outside the agreed scope may be billed separately, subject to your prior approval.

3. Client Responsibilities

3.1 You agree to:

  • Provide complete, accurate, and timely information, documents, and system access needed for us to perform the Services

  • Inform us promptly of any changes to your business, banking, or accounting systems that may affect our work

  • Review reports and information we provide and notify us of any errors or concerns as soon as reasonably possible

3.2 You remain responsible for all decisions you make based on our work and for meeting your own legal, tax, and regulatory obligations.

4. Fees, Invoicing & Payment

4.1 Our fees (hourly, fixed-fee, or monthly) will be outlined in your engagement letter or written agreement.

4.2 Invoices are typically issued [monthly / upon completion / as agreed] and are payable within 30 days of the invoice date, unless otherwise stated.

4.3 If payment is not received by the due date, we may:

  • Charge interest or late fees as permitted under Washington law, and/or

  • Suspend or terminate Services until payment is received

4.4 You are responsible for any bank charges, payment processing fees, or currency conversion fees imposed by your financial institution.

5. Online Services & Access

5.1 Our Services are provided primarily online, using cloud-based accounting, communication, and document storage tools.

5.2 You are responsible for maintaining your own internet connection, hardware, and software needed to access our online Services.

5.3 We are not liable for delays or interruptions caused by internet outages, third‑party platform downtime, or other issues beyond our reasonable control.

6. No Tax, Legal, or Investment Advice

6.1 Unless explicitly stated in writing, we do not provide tax, legal, or investment advice.

6.2 You are responsible for consulting with a qualified CPA, tax professional, attorney, or financial advisor for those matters.

7. Confidentiality & Data Protection

7.1 We treat your business and financial information as confidential and will not disclose it to third parties except:

  • Where required by law, subpoena, or government request, or

  • To trusted third‑party service providers (e.g., accounting software, cloud storage, communication tools) who assist us in delivering the Services and are required to protect your information

7.2 We take reasonable administrative, technical, and physical measures to protect your data. However, no system is completely secure and we cannot guarantee absolute security.

8. Use of Third‑Party Platforms

8.1 We may use third‑party platforms and software (e.g., accounting systems, cloud document storage, scheduling tools, video conferencing) to provide our Services.

8.2 These platforms operate under their own terms and privacy policies. We are not responsible for their acts, omissions, downtime, or security incidents beyond our reasonable control.

9. Limitation of Liability

9.1 To the fullest extent permitted by Washington and U.S. law, we are not liable for any indirect, incidental, special, or consequential damages (including loss of profits, revenue, or business opportunities) arising out of or related to the Services or these Terms.

9.2 Our total aggregate liability for any claim arising from or relating to the Services is limited to the total fees you paid to us for the Services in the six (6) months immediately preceding the event giving rise to the claim.

9.3 You remain responsible for timely filing of tax returns, payment of taxes, and compliance with all laws, even if our work contributes to those processes.

10. Term & Termination

10.1 These Terms apply from the date you first use our Services or website and continue until terminated.

10.2 Either party may terminate the engagement at any time by giving 30 Days written notice.

10.3 We may terminate or suspend Services immediately if you:

  • Fail to pay invoices when due

  • Fail to provide necessary information or access

  • Engage in unlawful or abusive behavior

  • Otherwise materially breach these Terms

10.4 Upon termination, you agree to pay for all Services performed and expenses incurred up to the termination date. After payment, we will provide any agreed-upon deliverables and, where reasonable, cooperate in transferring records to you or a new provider.

11. Intellectual Property

11.1 We retain all rights in our templates, processes, tools, training materials, and proprietary methods used in providing the Services.

11.2 You are granted a non-exclusive, non-transferable license to use the reports and work products we provide for your internal business purposes only.

12. Online Content & Website Use

12.1 Any content on our website is for general information only and does not constitute professional advice. You should not rely on website content as a substitute for tailored professional advice.

12.2 You agree not to misuse our website, attempt to access it without authorization, or use it in a way that may damage or impair it.

13. Changes to These Terms

13.1 We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and may post the updated Terms on our website.

13.2 Your continued use of our website or Services after changes are posted constitutes your acceptance of the updated Terms.

14. Governing Law & Dispute Resolution

14.1 These Terms are governed by the laws of the State of Washington and applicable U.S. federal law, without regard to conflict of law rules.

14.2 The parties will first attempt in good faith to resolve any dispute through informal discussion. If not resolved, disputes shall be brought exclusively in the state or federal courts located in Walla Walla County, Washington, unless otherwise required by law. You and we consent to the personal jurisdiction of those courts.
